Dean Consulting is a 12 year old professional firm providing both sell and buy-side financial advisory services in connection with mergers, acquisitions, divestitures, recapitalizations, leveraged buyouts, joint ventures, and private financings.
The range of transaction value of a typical engagement ranges from $3 million to $100 million, and our clients are typically private sell-side principals, public company buyers or sellers, or private equity buyers or sellers. We are compensated on a retained, contingent or hybrid retainer/contingent basis depending upon the assignment.
Among the engagment assignments we perform:
Identifying and reviewing strategic alternatives as well as business, financial, industry, and market research and analysis
- Developing, crafting and conducting M&A transactions and support including prospecting and scoping of counterparties, preparing/presenting and distribution of offering memorandums and other marketing materials, and preparing scenarios of probable transaction terms and value
- Rendering financial opinions with respect to valuation, fairness and solvency
- Performing valuations of businesses, equity and debt, and intangible assets
- Overseeing pre-planning of detailed due diligence including site visitations, management interviews, and legal documentation
- Constructing sophisticated, scenario driven financial and valuation models including analysis of financing alternatives, cash flow and IRR analysis, LBO/debt repayment analysis, accretion/dilution analysis, sum-of-the-parts valuation, discounted cash flow valuation, comparable public company
- Preparing and presenting independent detailed financial analyses and reports to directors, senior managers, lenders and shareholders
- Acting as independent consultants to equity sponsors, investment bankers, accountants and attorneys in transactions they may be considering
